UPOS Pilot Program Disclaimer

  1. Nature of the Pilot ProgramThis SDK is currently in an early “Trial Run Phase” and is made available solely to a limited group of invited participants for functional testing purposes. The primary objective of this phase is to validate the feasibility of stablecoin-based payment flows within an e-commerce environment.
  2. Temporary Flow-Through Settlement MechanismTo simplify implementation during this phase, the current version adopts a temporary “flow-through processing” model: customer payments may be briefly routed through a technical wallet operated by UPOS and subsequently settled to the merchant’s designated address in accordance with the agreed arrangement. Users understand and agree that this mechanism is a transitional solution for the pilot stage only. UPOS does not provide ongoing custodial, deposit-taking, or banking services.
  3. Usage Restrictions and LimitsTo manage operational and compliance risk, the pilot program is subject to the following restrictions:
  • Eligibility Restriction: Participation is limited to merchants who have executed a pilot participation agreement with UPOS.
  • Transaction Limits: Per-transaction and monthly cumulative transaction caps apply and may not exceed specified thresholds.
  • Asset Restriction: Only designated stablecoins (USDC and USDT) are supported during this phase.

The company is actively developing a decentralized, smart-contract-based payment protocol under which payment settlement will operate on a fully non-custodial, on-chain P2P model executed by smart contracts.
  2. Limitation of Liability and Risk Acknowledgement Participants acknowledge that the product is experimental in nature and may contain technical defects, delays, or disruptions. Under no circumstances shall UPOS be liable for losses arising from blockchain network failures, private-key security incidents, merchant operational issues, or the merchant’s failure to comply with applicable regulatory obligations (including, but not limited to, AML/CFT requirements).
  3. Non-Investment and Non-Financial Product Statement The SDK and its associated payment workflows are provided solely for technical testing purposes and do not constitute financial services, payment clearing services, currency exchange, investment advice, or the offering of securities or financial products. Nothing in this pilot program shall be interpreted as a financial commitment or guarantee of returns.
  4. Merchant Compliance Responsibility Each participating merchant is solely responsible for ensuring that its business activities, operating model, and transaction flows comply with all applicable laws, tax rules, and regulatory requirements in its jurisdiction, including but not limited to payments, foreign exchange, data protection, and consumer protection laws. UPOS shall not be responsible for any consequences arising from a merchant’s non-compliance.
  5. Right to Modify, Suspend, or Terminate the Pilot UPOS reserves the right, at any time and at its sole discretion, to modify, suspend, or terminate any part of the pilot program or its features without prior notice and without incurring any direct or indirect liability or obligation to participants. Participation in the pilot does not constitute a commitment by UPOS to continue providing the service on a commercial basis.
  6. Data and Transaction Record Disclaimer Blockchain transaction records shall prevail as the final source of truth. Any data, dashboards, or interface displays provided by UPOS are for convenience and reference purposes only and do not guarantee real-time accuracy, completeness, or timeliness. Participants are responsible for independently verifying relevant on-chain information.
